1. Acceptance of Terms
By accessing and using the services provided by Lumina Logistic Inc ("Lumina", "we", "us", or "our"), you ("Client", "you", or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Service Description
Lumina provides third-party logistics (3PL) services including but not limited to:
- Warehouse storage and inventory management
- Order fulfillment and shipping services
- Returns processing and quality inspection
- Technology platform access for order and inventory tracking
3. Service Packages & Billing
3.1 Subscription Plans: Our services are offered through various subscription tiers (Starter, Professional, Enterprise) with defined storage limits and order allowances.
3.2 Billing Cycle: Services are billed monthly or annually in advance. Annual subscriptions receive discounted rates.
3.3 Overage Charges: Orders exceeding your plan's monthly allowance will incur per-order fees as specified in your service agreement.
3.4 Storage Fees: Long-term storage (items stored beyond 180 days) may incur additional storage fees.
4. Client Responsibilities
4.1 Product Information: You must provide accurate product descriptions, dimensions, weights, and handling requirements.
4.2 Inventory Compliance: All products must comply with applicable laws and regulations. Prohibited items include hazardous materials, perishable goods (unless pre-approved), and illegal items.
4.3 Payment: Maintain sufficient wallet balance to cover fulfillment costs. Services may be suspended for non-payment.
4.4 Shipping Information: Provide complete and accurate shipping addresses for all orders.
5. Our Responsibilities
5.1 Care of Goods: We will exercise reasonable care in handling and storing your inventory.
5.2 Order Processing: We commit to processing orders within the timeframes specified in your service plan (typically same-day or next-day).
5.3 Accuracy: We maintain industry-standard accuracy rates (99.5%+) for order fulfillment.
6. Liability & Insurance
6.1 Insurance Coverage: We maintain warehouse insurance covering loss or damage to stored goods. Claims are subject to investigation and verification.
6.2 Limitation of Liability: Our liability is limited to the actual value of lost or damaged goods, not exceeding $500 per item unless additional insurance is purchased.
6.3 Shipping Liability: Once items are transferred to carriers, shipping claims are subject to carrier terms and conditions.
7. Returns & Refunds
7.1 Service Fees: Monthly subscription fees are non-refundable. We do not provide pro-rated refunds for partial months.
7.2 Overage Charges: Fulfillment charges are non-refundable once orders have been processed.
7.3 Billing Disputes: All billing disputes must be raised within 30 days of the invoice date.
8. Termination
8.1 By Client: You may terminate services with 30 days written notice. All inventory must be removed or disposed of within 60 days of termination.
8.2 By Lumina: We reserve the right to terminate services for non-payment, violation of terms, or prohibited items with 15 days notice.
8.3 Post-Termination: Storage fees continue to accrue until all inventory is removed from our facilities.
9. Data & Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Modifications
We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of modified terms.
11. Governing Law
These Terms are governed by the laws of the jurisdiction in which Lumina Logistic Inc is registered, without regard to conflict of law principles.
